Investor Transition Strategy
E-2 Visa to EB-5 Green Card
How an E-2 investor may later pursue permanent residence through a separate EB-5 case.
Direct answer
What the governing framework requires
There is no automatic conversion from E-2 to EB-5. An E-2 investor can potentially pursue EB-5 if the investor independently satisfies the EB-5 capital, lawful-source, new commercial enterprise, management, and job creation requirements. The existing E-2 business can sometimes form part of that strategy, but E-2 approval does not establish EB-5 eligibility.
01 · Separate Categories
E-2 and EB-5 use different standards
E-2 approval does not prove the EB-5 statutory investment or job requirements.
E-2 and EB-5 are separate classifications with different statutory purposes and evidence. E-2 allows qualifying treaty investors to direct and develop a US enterprise in temporary status. EB-5 is an immigrant category that requires its own qualifying investment, new commercial enterprise, management participation, lawful source and path of capital, and job creation showing. Prior E-2 approval can document business history, but it does not establish any EB-5 element by itself.
02 · Capital
Additional capital may be necessary
An E-2 investment below the EB-5 amount does not become EB-5 capital merely because the business grows.
An E-2 investment may be substantial for treaty investor purposes while remaining below the EB-5 statutory minimum. Moving toward EB-5 can therefore require additional qualifying capital, and earlier E-2 expenditures should be reviewed before assuming every prior dollar can be credited to the later immigrant investment. The EB-5 record should identify what capital is being counted, when it was invested, where it went, and how the transaction satisfies the current statutory amount.
03 · Source of Funds
EB-5 source evidence is usually more extensive
Preserve historical E-2 investment, tax, banking, business, and transfer records.
EB-5 lawful source review is normally broader and more transaction focused than the evidence used to establish E-2 investment ownership and commitment. Preserve records explaining how the original E-2 capital was earned, accumulated, transferred, and spent, together with later business distributions, tax records, bank statements, sale records, gifts, loans, or other funding events. Early preservation matters because an EB-5 filing may occur years after the original E-2 business was funded.
04 · Jobs
Existing employees do not automatically satisfy EB-5
The NCE and job-creation rules must be analyzed.
Employees already working in an E-2 enterprise do not automatically satisfy EB-5 job creation. The EB-5 analysis must determine which new commercial enterprise receives the qualifying investment, which employment can legally be credited, whether the positions are qualifying full time jobs, and when they were or will be created. A business with existing employees may require careful baseline and expansion analysis rather than simply counting every worker on payroll when the investor later pursues EB-5.
05 · Immigration Status
E-2 status should be maintained until a separate basis permits otherwise
An EB-5 petition by itself does not automatically extend E-2 status.
Filing an EB-5 immigrant petition does not by itself extend E-2 status, authorize employment beyond the E-2 basis, or create adjustment eligibility. The investor should separately track the expiration and requirements of existing E-2 status while evaluating the immigrant process, visa availability, and any later adjustment filing. Travel and consular strategy should also be coordinated because a pending or planned immigrant case can interact differently with nonimmigrant processing depending on the procedural posture and facts.
06 · Planning
The transition is easiest when considered early
Ownership, capitalization, entity structure, hiring records, and source documents can be preserved for later immigrant planning.
The easiest E-2 to EB-5 transition is usually one considered before records disappear or the business structure changes. Preserve ownership records, capitalization history, payroll, tax filings, bank statements, contracts, purchase documents, and source records from the beginning. Before adding capital or reorganizing the company, identify the proposed EB-5 new commercial enterprise and job creation theory. Early planning cannot guarantee eligibility, but it can prevent evidentiary gaps and transactions that make the immigrant case harder to document.
