E-2 Franchise Investment
E-2 Visa for a Franchise Business
How franchise fees, total startup cost, escrow, operating control, franchisor requirements, staffing, business plans, and marginality affect an E-2 franchise investment.
Direct answer
What the governing framework requires
A franchise can qualify for E-2 under the same treaty investor rules that apply to other enterprises. The franchise relationship does not create automatic eligibility. The investor must still establish qualifying nationality, investment, substantiality, a real operating enterprise, more than marginal economic capacity, and the ability to develop and direct it.
01 · Eligibility
A franchise is evaluated under the ordinary E-2 framework
There is no separate E-2 franchise classification.
A franchise may provide a developed business model, brand, training, supplier network, and operating system, but the investor must independently satisfy every E-2 requirement.
02 · Investment
Substantiality should use the complete cost of establishing the franchise
The relevant enterprise cost can include more than the initial franchise fee.
Buildout, equipment, inventory, lease deposits, training, licenses, insurance, technology, required reserves, and other startup costs may all affect the actual cost of creating the enterprise.
The qualifying amount committed should then be measured against that documented cost.
03 · Franchisor Control
Brand standards do not necessarily prevent the investor from developing and directing the business
Franchise agreements commonly regulate trademarks, products, vendors, operating methods, and quality standards.
Those restrictions do not automatically eliminate investor control.
The question is whether the investor retains meaningful authority over the local enterprise, including business operations, personnel, finances, and management within the franchise framework.
04 · Economics
The franchise's actual economics must support the marginality analysis
Franchisor projections and marketing material should not simply be copied into the immigration business plan.
Revenue assumptions should be adapted to the location, market, operating hours, staffing, rent, royalties, advertising fees, and expected business volume.
05 · Transaction Structure
Franchise and lease commitments should be coordinated with visa timing
A franchise startup may require multiple commitments before visa issuance, including franchise fees, premises, equipment, and buildout.
Where appropriate, escrow or visa conditioned agreements can reduce transactional risk while still satisfying the legal requirement for genuine commitment.
The specific agreement language matters.
06 · Evidence
The franchise documents should fit the immigration theory
- Franchise agreement
- Franchise disclosure material where relevant
- Franchise fee payment
- Lease
- Buildout records
- Equipment purchases
- Inventory
- Training records
- Operating budget
- Business plan
- Staffing plan
Questions and answers
Frequently asked questions
Are franchises automatically approved for E-2?
No. A franchise must satisfy the same E-2 legal requirements as another qualifying enterprise.
Does the franchise fee alone determine the E-2 investment amount?
No. The complete cost of establishing the franchise should be analyzed.
Does franchisor control prevent E-2 eligibility?
Not necessarily. Ordinary brand and system controls can coexist with the investor's meaningful operational authority over the local enterprise.
Can a franchise purchase be conditioned on visa approval?
Potentially, depending on the transaction and properly structured commitment or escrow arrangements.
Is the franchisor's business plan enough?
Usually the E-2 record should address the specific location and actual economics of the investor's enterprise.
Do I need employees immediately?
There is no universal employee count, but staffing and future capacity can be important to marginality.
