EB-5 Immigrant Investor
EB-5 Immigrant Investor Green Card: Requirements and Process
A legal guide to EB-5 investment amounts, lawful capital, new commercial enterprises, job creation, targeted employment areas, regional center investments, standalone investments, petition procedure, and conditional permanent residence.
Direct answer
What the governing framework requires
EB-5 permits a qualifying investor to pursue permanent residence by investing the required amount of lawfully obtained capital in a qualifying new commercial enterprise and satisfying the applicable job creation requirements. For petitions filed under the current post-March 15, 2022 framework, the standard minimum investment is $1,050,000, while $800,000 applies to qualifying investments in a targeted employment area or qualifying infrastructure project. The investment must generally support creation of at least 10 full time positions for qualifying workers.
01 · Eligibility
EB-5 combines an immigration petition with an investment and job creation record
EB-5 is the fifth employment based immigrant preference classification. Unlike E-2, which is a temporary treaty investor classification, EB-5 is an immigrant category that can lead to lawful permanent residence for the principal investor and qualifying derivative family members.
The central legal questions concern the required investment amount, the investor's qualifying capital, lawful source and path of funds, investment in a qualifying new commercial enterprise, commercial risk, job creation, and compliance with the procedural rules that apply to either a standalone investment or a regional center associated investment.
| Requirement | Core issue |
|---|---|
| Investment amount | The required statutory amount must be invested or actively in the process of being invested. |
| Lawful capital | The investor must establish that the capital and covered administrative costs and fees were obtained through lawful means. |
| Path of funds | The documentary record should trace investment capital from its lawful source through the transfers used to reach the investment. |
| New commercial enterprise | The investment must be made in a qualifying commercial enterprise under the governing EB-5 rules. |
| At risk investment | The capital must constitute a genuine investment rather than a prohibited repayment or guaranteed return arrangement. |
| Job creation | The investment must satisfy the applicable requirement for at least 10 full time positions for qualifying workers. |
| Immigrant process | The investor must complete the petition, immigrant visa or adjustment process, and later removal of conditions requirements. |
These issues should be analyzed together. A financially successful investment does not automatically satisfy EB-5 law, and approval of an EB-5 petition is not an endorsement of the economic merits or safety of the underlying investment.
02 · Capital
The current minimum is $1,050,000 or $800,000 in a qualifying reduced investment category
For petitions filed under the current framework established by the EB-5 Reform and Integrity Act of 2022, the standard minimum investment amount is $1,050,000.
The reduced minimum is $800,000 when the investment qualifies under the statutory rules for a targeted employment area or qualifying infrastructure project. A targeted employment area can involve a qualifying rural area or qualifying high unemployment area under the current statutory definitions.
The reduced investment amount should not be assumed merely because a project uses the term “TEA” in marketing materials. The project and location must satisfy the governing law applicable to the petition.
The statutory investment amounts are subject to periodic adjustment. Investors planning a future filing should confirm the amount in effect when the petition will be filed rather than relying on an older project document.
03 · Investor Capital
The investor must establish lawful capital and document the path of the funds
Source of funds is an individualized EB-5 eligibility issue. USCIS does not treat proof that money arrived in a new commercial enterprise account as sufficient by itself.
The investor should establish how the capital was lawfully accumulated and then document how that capital moved from the source to the investment. The evidence can vary substantially depending on whether the funds came from employment income, business profits, a sale of property, a sale of a company, securities, a gift, inheritance, insurance proceeds, or borrowed funds.
Current USCIS Form I-526 and Form I-526E instructions require evidence that the invested capital, as well as funds used to pay covered administrative costs and fees, were obtained through lawful means. They also identify tax records, business records, other source evidence, litigation information, third party transfer information, and donor or lender evidence as potentially required parts of the record.
Precedent EB-5 decisions also distinguish source from path. Matter of Ho and Matter of Izummi require a documentary record sufficient to establish lawful source and trace the movement of the capital rather than simply showing the final deposit.
04 · Investment Structure
EB-5 requires a qualifying commercial investment rather than a guaranteed repayment arrangement
EB-5 capital must be invested in a qualifying new commercial enterprise. The legal analysis therefore looks beyond the investor's payment and examines the rights created by the investment documents.
USCIS instructions identify arrangements that do not constitute qualifying capital, including capital invested in exchange for certain debt arrangements with the new commercial enterprise, investments with a guaranteed rate of return, and arrangements giving the investor a contractual right to repayment such as a mandatory redemption or sell back right.
The investment documents should therefore be reviewed for repayment promises, redemption rights, guarantees, collateral arrangements, side agreements, and other terms that could change the legal character of the investment.
Investment risk under immigration law should not be confused with financial investment quality. EB-5 counsel analyzes immigration eligibility. Financial performance, securities compliance, economic projections, developer risk, fraud risk, and suitability can require separate professional review.
05 · Employment
Each EB-5 investor must be supported by the required job creation
The EB-5 program is designed to promote economic growth through capital investment and employment creation. The governing framework generally requires at least 10 full time positions for qualifying employees attributable to each EB-5 investor.
A standalone investment and a regional center associated investment do not prove job creation in the same way. A standalone investor generally relies on qualifying direct employment within the applicable enterprise structure. A regional center investment can rely on job creation methodologies permitted under the regional center statute and USCIS policy, including qualifying indirect employment where the governing requirements are met.
Where jobs already exist, employment records may be relevant. Where the jobs will be created prospectively, the business plan and supporting economic or operational evidence must credibly establish how the required employment will result.
Matter of Ho remains important to the business plan analysis. A plan should be detailed enough to allow USCIS to draw reasonable conclusions about operations and job creation rather than relying on unsupported projections.
06 · Investment Model
Standalone EB-5 and regional center EB-5 use different structures and forms
An investor can pursue EB-5 through a standalone investment or through an investment associated with a USCIS designated regional center.
| Issue | Standalone investor | Regional center investor |
|---|---|---|
| Investor petition | Form I-526 | Form I-526E |
| Project structure | Investor establishes eligibility through the standalone enterprise structure | Investment is associated with a USCIS designated regional center and approved project filing framework |
| Job evidence | Generally based on qualifying direct employment | May include qualifying direct and indirect job creation under applicable regional center rules |
| Project documentation | Business and investor record developed for the standalone case | Investor record works together with the regional center project record |
Regional center designation does not mean that USCIS guarantees the project, the repayment of capital, or immigration approval for an individual investor. Individual eligibility issues such as lawful source of funds remain subject to review.
07 · Immigration Process
EB-5 proceeds from the investor petition to conditional residence and removal of conditions
A standalone investor generally files Form I-526. A regional center investor generally files Form I-526E. The petition establishes the investor's EB-5 eligibility under the applicable statutory framework.
After petition approval and when an immigrant visa is available, an investor outside the United States ordinarily proceeds through immigrant visa processing. An eligible investor in the United States may pursue adjustment of status when the statutory and procedural requirements are satisfied. The Reform and Integrity Act also permits concurrent adjustment filing in qualifying cases when a visa is immediately available.
EB-5 residence is initially conditional. The investor later uses Form I-829 to seek removal of the conditions on residence and must establish compliance with the applicable investment and job creation requirements.
Visa availability can materially affect the timing of permanent residence. Country of chargeability, the applicable EB-5 visa category, reserved or unreserved classification, priority date, and the Department of State Visa Bulletin may therefore matter independently from USCIS petition processing.
08 · Evidence
An authoritative EB-5 filing separates investor evidence from project evidence
A well organized EB-5 record should allow USCIS to identify which documents establish the investor's individualized eligibility and which documents establish project level eligibility.
Investor evidence
- Identity and family records
- Source of capital documentation
- Tax and business records where applicable
- Path of funds records
- Gift or loan documentation where applicable
- Evidence of investment into the new commercial enterprise
Investment evidence
- Subscription or investment agreement
- Operating or partnership agreement
- Bank and escrow evidence
- Capital contribution records
- Offering materials where applicable
- Documents showing the capital is placed at risk
Project evidence
- Business plan
- Job creation evidence
- Economic analysis where applicable
- Entity and ownership records
- Project financing documents
- Regional center records where applicable
The evidence should be internally consistent. Purchase dates, transfers, ownership percentages, project costs, job projections, source explanations, and petition forms should not tell competing versions of the same transaction.
